These Terms of Use (“Terms”) govern your access to and use of Edna (the “Service”), an AI voice host operated by Cloutch LLC (“Edna,” “we”). By creating an account or using the Service, you agree to these Terms.
1. Accounts
You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity that occurs under your account. You must be at least 18 years old and authorized to act for the business you register.
2. Acceptable use
You agree not to misuse the Service, including by using it for unlawful calling, harassment, fraud, or any activity that violates telecommunications regulations (including TCPA and A2P 10DLC requirements). You are responsible for ensuring that calls handled by the Service comply with applicable recording-consent and disclosure laws in your jurisdiction.
3. Telephony and AI disclosures
The Service answers calls using an AI agent and may record and transcribe conversations. You authorize Edna to provision and operate phone numbers and forwarding on your behalf, and you agree to honor the spoken AI disclosure, recording notices, and opt-out handling the Service provides.
4. Text messaging (SMS)
If you enable text messaging, you authorize Edna to send SMS on your behalf to callers who contact your business, and you are responsible for ensuring those messages comply with the TCPA, CTIA guidelines, and A2P 10DLC requirements. Messages are transactional — reservation confirmations, reschedule and cancellation notices, requested information, and missed-call follow-ups. Message frequency varies based on call activity, and message and data rates may apply. Recipients can reply STOP at any time to unsubscribe and HELP for assistance; the Service honors these requests automatically.
5. Fees and billing
Paid plans are billed in advance on a recurring basis. Usage beyond your plan’s included minutes is billed as metered overage at $0.30 per minute. Fees are non-refundable except where required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period.
6. Service availability
We work to keep the Service available but do not guarantee uninterrupted operation. The Service is provided “as is” without warranties of any kind, to the maximum extent permitted by law.
7. Limitation of liability
To the maximum extent permitted by law, Edna will not be liable for any indirect, incidental, or consequential damages, or for lost profits or revenues, arising out of your use of the Service. Our total liability for any claim is limited to the amount you paid for the Service in the twelve months preceding the claim.
8. Termination
We may suspend or terminate your access if you violate these Terms or use the Service in a way that risks harm to others or to the telephony network. You may stop using the Service at any time.
9. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email. Continued use after changes take effect constitutes acceptance of the updated Terms.
